What the authorisation covers

Penning is authorised for 7 of the ten crypto-asset services defined in Article 3(1)(16) of MiCA. It is not authorised for operating a trading platform, placing of crypto-assets, advice on crypto-assets — if it offers those, that activity is outside this licence.

• a Custody and administration all EEA Holding clients' crypto-assets or the private keys to them, and keeping them safe. This is what a wallet service or an exchange that keeps your coins does.
• b Operating a trading platform not authorised Running a marketplace where buyers and sellers of crypto-assets are matched — an order-book exchange in the strict sense.
• c Exchange for funds all EEA Buying crypto-assets from clients, or selling to them, against money (euro or another currency) using the provider's own capital.
• d Exchange for other crypto-assets all EEA Swapping one crypto-asset for another with the client, using the provider's own capital — for example bitcoin for a stablecoin.
• e Execution of orders all EEA Concluding purchases or sales of crypto-assets on the client's behalf, including on a third-party trading platform.
• f Placing of crypto-assets not authorised Marketing newly issued crypto-assets to buyers on behalf of the issuer — the crypto equivalent of underwriting or an IPO placement.
• g Reception and transmission of orders all EEA Taking a client's order to buy or sell and passing it on to another provider that executes it — a broker that does not execute itself.
• h Advice on crypto-assets not authorised Giving personalised recommendations to a client about buying, selling or holding specific crypto-assets.
• i Portfolio management all EEA Managing a client's crypto-asset portfolio with discretion, under a mandate — deciding what to buy and sell on their behalf.
• j Transfer services all EEA Moving crypto-assets from one distributed-ledger address or account to another on the client's behalf.

Where it may operate

Penning has notified all 30 EEA countries: under MiCA's passporting rules, a licence from one Member State lets the provider offer its services across the whole European Economic Area after a simple notification.
